Terms of Service

This Terms of Service was last revised on and is effective as of November 05, 2015. 


StaffDirect.ca (“Website”) is made available to you pursuant to the following Terms of Service and any other rules or policies posted on this Website. All such rules and policies are incorporated by reference into these Terms of Services. By accessing, browsing and/or using this Website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and any other rules or policies posted on this Website. 

TERMS OF SERVICE APPLICABLE TO ALL USERS

Description of Staff Direct Services

StaffDirect is an online tool for connecting dental professionals (“Staff”) and dental practices (“Employers”), where Employers can search and contact the most suitable candidates and dental professional are matched to the best suited opportunities. StaffDirect is also a network that matches job seeker's qualification and employer's requirements, so it can create the absolute best dental employment match. Staff may build their digital portfolios on StaffDirect and they can apply for dental jobs or get connected with targeted opportunities customized to their career needs, preferences and work availability. StaffDirect also digitize Staff’ work availability and allows hiring managers that are subscribing to trial or premium packages to access their work availability in the calendar on in the list view. The aforementioned shall be referred to herein as our “Services”

Your Staff Direct Account

You may need a StaffDirect Account in order to use some of our Services. You may create your own StaffDirect Account, or your StaffDirect Account may be assigned to you by an administrator, such as your employer or educational institution. If you are using a StaffDirect Account assigned to you by an administrator, different or additional terms may apply, and your administrator may be able to access or disable your account. 
As a registered user, you are entirely responsible for maintaining the confidentiality of your password and account. To protect your StaffDirect Account, keep your password confidential. You are responsible for the activity that happens on or through your StaffDirect Account. Try not to reuse your StaffDirect Account password on third-party applications. You may change the password of your account at any time. If you learn of any unauthorized use of your password or StaffDirect Account, please contact us. 
Furthermore, you are entirely responsible for any and all activities which occur under your account. If you permit another user to access your account and our Services, you agree to ensure that said user abides by these Terms of Service and any other agreement governing your access and use of our Services. We cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

Privacy

StaffDirect's Privacy Policies explain how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that StaffDirect can use such data in accordance with our privacy policies. For a complete description of our stance on your privacy rights, please see our Privacy Policies, which are incorporated into these Terms of Service by reference.

Copyright Protection

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act. 
We provide information to help copyright holders manage their intellectual property online. If you think somebody is violating your copyright protections, please contact us using the contact form.

Intellectual Property Rights

You acknowledge and agree that StaffDirect, Inc. is the sole and exclusive owner of all right, title and interest in and to all trademarks, copyrights and all other rights in and to all software, computer programs, works of authorship, writings (whether or not copyrightable), inventions (whether or not patentable), discoveries, methods, improvements, processes, ideas, systems, know-how, data, and any other intellectual creations of any nature whatsoever used in our Service, other than certain content you contribute to our Services, as specified below.

Your Content in Our Services

Some of our Services allow you to submit content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours. 
If you have a StaffDirect Account, we may display your Profile name, Profile photo, and actions you take on StaffDirect or on third-party applications connected to your StaffDirect Account (such as likes, reviews you write and comments you post) in our Services, including displaying in ads and other commercial contexts. We will respect the choices you make to limit sharing or visibility settings in your StaffDirect Account Settings. 
You can find more information about how StaffDirect uses and stores content in our Privacy Policies. If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without any obligation to you.

Modifying and Terminating our Services

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service. 
You can stop using our Services at any time, although we'll be sorry to see you go.

Our Warranties and Disclaimers

You expressly agree that use of our services is at your sole risk. Our services are provided on an "as is" and "as available" basis. Staff Direct expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Staff Direct, makes no warranty that our services will meet your requirements, or that our services will be uninterrupted, timely, secure, or error free; nor does Staff Direct make any warranty as to the results that may be obtained from the use of our services or as to the accuracy or reliability of any information obtained through our services or that defects in our services will be corrected, nor that our services or the server that makes our services available are free from errors, defects, design flaws or omissions or from viruses or other harmful components. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of our services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data. Staff Direct makes no warranty regarding any goods or services purchased or obtained through our services or any transactions entered into through our services. No advice or information, whether oral or written, obtained by you from Staff Direct or through our services shall create any warranty not expressly made herein. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Liability for our Services

Staff Direct or any related affiliate, shall not be liable to you, or any third party for any direct, indirect, incidental, special, consequential or punitive damages, resulting from the use or the inability to use ours service or for cost of procurement of substitute goods and services or resulting from any goods or services purchased or obtained or messages received or transactions entered into through our services or resulting from unauthorized disclosure or access to or alteration or loss of your transmissions or data, including but not limited to, damages for loss of profits, use, data or other intangibles, whether or not Staff Direct has been advised of the possibility of such damages. 
In no event, under any circumstances, shall Staff Direct liability exceed the lesser of (a) one hundred Canadian dollars ($100.00) or (b) the aggregate amount of fees paid by you to Staff Direct. In the prior twelve (12) months leading up to the event giving rise to any such claim. 
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to you.

Data Backup

We will take reasonable precautions to protect your data and back up our data. However, your data is still at risk and susceptible to viruses and third party hackers that could lead to loss or corruption of your data. You are responsible for adopting reasonable measures to limit your exposure to such potential losses and damages, including (without limitation) examination and confirmation of results of our Services prior to use thereof, and preparation and storage of backup or duplicate data. StaffDirect, Inc. shall not be responsible for the loss of any data, software, or files from your use of our Services.

Third Party Web Sites

We may link to or promote web sites or services from other companies or offer you the ability to download software from other companies. You agree that StaffDirect, Inc. is not responsible for and does not control those websites. We encourage you to be aware of this when you leave this Website and to read the legal notices and privacy policies of each and every website you visit. Your use of a third-party website will be subject to such third-party’s terms of use and privacy policy.

User Conduct

You are solely responsible for the content of your transmissions and conduct through our Services. Your use of our Services is subject to all applicable local, province, federal and international laws and regulations. You agrees (1 all applicable local, province, federal and international laws and regulations; (2) not to use our Services for illegal purposes; (3) not to interfere or disrupt networks connected to our Services; (4) to comply with all regulations, policies and procedures of networks connected to our Services; (5) not to manipulate identifiers, such as email headers, to disguise the origin of any content transmitted to or through our computer systems; (6) not to relay email from a third party's mail servers without the permission of that third party; and (7) not to use or cause to be used our computer systems to facilitate the transmission of unsolicited or unauthorized material - this includes any promotional materials, URLs, "junk mail," "chain letters," "pyramid schemes," or any other form of unauthorized solicitation that you may upload, post, email, transmit, or otherwise make available. 
Any unauthorized use of our computer systems is a violation of these Terms of Service, and such violations may subject the sender and his or her agents to civil and criminal penalties. 
Our Services makes us of the Internet to send and receive certain messages; therefore, your conduct is subject to Internet regulations, policies and procedures. You agree not to transmit through the Services any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature. You further agree not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, province, national or federal law or regulation. Attempts to gain unauthorized access to other computer systems are prohibited. You will not interfere with another user's use and enjoyment of our Services or another entity's use and enjoyment of similar services. We may, at our sole discretion, immediately terminate any portion or all of our Services if your conduct fails to conform to these Terms of Service.

No Resale Or Commercial Use Of The Service

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of our Services, use of our Services, or access to our Services.

Indemnification

You agree to indemnify and hold StaffDirect, Inc., its parents, subsidiaries, affiliates, agents, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of our Services, content provided by you, your violation of these Terms of Service, or your infringement, or the infringement by another user using your computer to access of our Services of any intellectual property or other right of any person or entity.

Notice

All notices to a party shall be in writing and shall be made either via email to info@staffdirect.ca or conventional mail at the following address 11715 232B Street, Maple Ridge, British Columbia. We may broadcast notices or messages through our Services to inform you of changes to these Terms of Service, our Services, or other matters of importance. Such broadcasts shall constitute proper notice to you.

Governing Law

These Terms of Service shall be governed in all respects by the laws of the Province of British Columbia without regard to conflicts of law principles. You and StaffDirect, Inc. agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to these Terms and Conditions.

All disputes arising under this Agreement shall be brought in the courts located in the Province of British Columbia, as permitted by law. The courts located in the Province of British Columbia shall each have non exclusive jurisdiction over disputes under this Agreement. By accessing and using our Services, you hereby consent to the personal jurisdiction of the above courts.

Modification of these Terms of Service

We may modify these terms or any additional terms that apply to a Service to. You should look at the terms regularly. We'll post notice of modifications to these terms on this page. We'll post notice of modified additional terms in the appropriate area of this Website. Changes will not apply retroactively and will become effective when they are posted. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service. If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.

No Third-Party Beneficiaries

You agree that, except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to these Terms of Service.
